Terms of Service

Please read these terms carefully before using the Chatori platform and services.

These Terms and Conditions ("Terms") govern your access to and use of Chatori's WhatsApp automation platform, including the web application, APIs, and all related services (collectively, "the Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, connecting your WhatsApp Business account, or otherwise using the Chatori Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

Chatori provides a SaaS platform enabling businesses to automate WhatsApp customer communication. The Service includes:

  • AI-powered automatic message responses via WhatsApp Business API
  • Reservation and appointment management integrated with Google Calendar
  • Customer relationship management (CRM) and conversation history
  • Admin dashboard for configuration, monitoring, and reporting
  • FAQ management and AI profile customisation

The Service is provided "as is" and may be updated, modified, or discontinued at our discretion with reasonable notice.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to use this Service. By using Chatori, you represent that you meet these requirements.

The Service is intended for legitimate business use. Personal, non-commercial use is not supported.

4. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Ensuring your WhatsApp Business account complies with Meta's policies
  • Providing accurate and up-to-date business information
  • Promptly notifying us of any unauthorised use of your account

Chatori is not liable for any loss or damage arising from your failure to maintain account security.

5. Permitted Use

You may use the Service to:

  • Automate customer communication for your legitimate business operations
  • Manage bookings, reservations, and appointments
  • Configure AI responses based on your business's FAQs and policies
  • Access and export your own data for business reporting

6. Prohibited Activities

You must not use the Service to:

  • Send spam, unsolicited messages, or bulk promotional content in violation of WhatsApp policies
  • Harass, threaten, or deceive customers or third parties
  • Collect or process personal data in violation of GDPR or applicable privacy laws
  • Reverse-engineer, copy, or redistribute any part of the platform
  • Introduce viruses, malware, or other harmful code
  • Circumvent rate limits, access controls, or security features
  • Use the Service for any unlawful purpose

Violation of these prohibitions may result in immediate account suspension or termination.

7. WhatsApp Policy Compliance

⚠️ Your use of Chatori's WhatsApp integration is governed by Meta's WhatsApp Business Terms of Service. Violations of Meta's policies may result in restrictions on your WhatsApp Business account, independent of your Chatori account status.

You agree to:

  • Comply with WhatsApp Business Policy at all times
  • Only message users who have opted in to receive communications from your business
  • Honour opt-out requests promptly
  • Not send prohibited content as defined by Meta

8. Google Services Integration

When you choose to connect Google Calendar, you authorise Chatori to access your Google account data as described during the OAuth authorisation flow. This integration is governed by:

  • Google Privacy Policy
  • Google API Terms of Service

Chatori's use of Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. We access Google Calendar data solely to provide and improve the reservation management features you have enabled.

You can revoke Chatori's access to your Google account at any time through your Google Account settings.

9. Intellectual Property

The Chatori platform, including its software, design, trademarks, and documentation, is the exclusive property of Chatori and its licensors. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service.

Your business data, AI configurations, and content remain your property. You grant Chatori a limited license to store and process this data solely to provide the Service.

10. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully to understand our data practices.

You are responsible for ensuring that your collection and processing of customer data through the Service complies with all applicable privacy laws, including GDPR where applicable.

11. Payment & Subscription

Chatori offers subscription plans as described on chatori.at. By subscribing, you agree to pay all applicable fees.

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except where required by law
  • We reserve the right to modify pricing with 30 days' notice
  • Failure to pay may result in suspension of your account

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as-is" without warranties of any kind
  • Chatori is not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the fees paid by you in the 3 months preceding the claim
  • We are not responsible for interruptions caused by third-party services (Meta, Google, etc.)

13. Termination

Either party may terminate this agreement:

  • You may cancel your account at any time by contacting us
  • We may suspend or terminate your account if you violate these Terms, with or without prior notice depending on the severity

Upon termination, your access to the Service will cease. We will retain your data for up to 30 days after termination before permanent deletion, unless required otherwise by law.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Continued use after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Austria. Any disputes shall be resolved in the courts of Austria, without regard to conflict of law principles.
